Please read these Terms of Use carefully before using the Phichain Capital website (the “Site”). These Terms govern your access to and use of the Site, which includes Phichain Capital’s public webpages as well as any investor dashboard or portal. By accessing or using the Site, you acknowledge that you have read and agree to be bound by these Terms of Use. If you do not agree with any part of these Terms, you must refrain from using the Site or any of its services. Use of the Site is also subject to our Privacy Policy and any other legal notices posted on the Site, which are incorporated by reference.

To use this Site, you must meet the following conditions:

Age and Capacity: You must be at least 18 years of age (or the age of majority in your jurisdiction) and fully able to form legally binding contracts. By using the Site, you represent that you have the legal capacity to agree to these Terms.

Compliance with Law: You may only use the Site if doing so is lawful in your jurisdiction. You are solely responsible for ensuring that your use of the Site complies with all applicable laws, regulations, and restrictions (including securities laws and digital asset regulations) where you live. By accessing the Site, you represent that you have legal permission to view the information provided here.

Sanctioned Countries/Parties: You may not use or access the Site if you are located in, under the control of, or a national/resident of any country or region that is subject to comprehensive economic sanctions or embargoes (e.g. countries sanctioned by the U.S. Office of Foreign Assets Control, United Nations, or European Union), or if you are on any sanctions list of prohibited persons. By using the Site, you represent and warrant that you are not a person or entity targeted by sanctions or restrictions under U.S., EU, or UN laws.

Authorized Investors – Dashboard Access: Certain areas of the Site, such as the investment dashboard, are password-protected and available only to approved investors who have received login credentials directly from Phichain Capital. No public user accounts are provided. If you have not been expressly granted credentials by Phichain, you are not authorized to access these restricted areas. Authorized investors must keep their login credentials confidential and not share them with any third party. You are responsible for all activities that occur under your issued credentials. If you suspect any unauthorized use of your account, you must notify Phichain Capital immediately. Phichain Capital reserves the right to revoke or suspend your access to the investor dashboard at any time, for security or compliance reasons or if you violate these Terms.

Use “As-Is”: The Site and all of its contents are provided on an “as is” and “as available” basis, without any warranty of any kind. Phichain Capital disclaims all warranties, express or implied, including but not limited to implied warranties of title, non-infringement, merchantability, fitness for a particular purpose, accuracy, and any warranties arising from course of dealing or usage of trade. We make no guarantee that the Site (or any content on it) will be uninterrupted, timely, secure, or free of errors, viruses, or other harmful components.

Information Accuracy: While Phichain Capital endeavors to provide accurate and current information on the Site, we do not warrant or guarantee the completeness, correctness, timeliness, or reliability of any information available through the Site. Content on the Site may be updated, changed, or removed at any time without notice, and it may be or become out-of-date at the time you access it. Phichain Capital does not warrant that any reported performance or market information is accurate or up-to-date. You acknowledge that any reliance on information on the Site is at your own risk.

No Warranty for Third-Party Content: Any third-party links, materials, or content accessible on the Site are provided for convenience and informational purposes only. Phichain Capital does not endorse, guarantee, or assume responsibility for any third-party websites or content. If you access third-party sites or resources via links on our Site, you do so at your own risk, and those sites’ terms and policies will apply to you.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, Phichain Capital’s warranties are limited to the greatest extent permitted by law.

Nothing on this Site constitutes or should be construed as an offer to sell, or a solicitation of an offer to buy, any securities or other financial instruments. The Site may provide information about Phichain Capital’s investment strategies, market insights, or details about its funds, but this information is provided for informational purposes only and is not an invitation or inducement to invest. Nothing in these Terms grants you any license or right to use any trademark or logo without the express written permission of Phichain Capital. You agree not to remove or alter any copyright, trademark, or other proprietary rights notices on the Site’s content.

When using the Site, you agree not to engage in any of the following prohibited activities:

Illegal or Unauthorized Purposes: Do not use the Site for any unlawful purpose or in violation of any applicable laws or regulations. This includes, but is not limited to, using the Site to engage in fraud, money laundering, or any activity that would violate U.S. securities laws or other regulations.

Interference with Site Security: Do not attempt to gain unauthorized access to any portion of the Site, to other users’ accounts, or to Phichain’s computer systems. You must not introduce viruses, malware, or any other harmful code, or undertake any actions that disrupt or interfere with the Site’s functionality or security.

Intellectual Property Infringement: Do not use the Site to upload, post, or transmit any content that infringes or misappropriates the intellectual property rights or other rights of Phichain Capital or any third party.

Harm to Reputation: You must refrain from any conduct that could harm or tarnish the reputation of Phichain Capital or its affiliates. This includes refraining from defamatory, offensive, or abusive communications on the Site.

Spam and Unsolicited Promotions: Do not use the Site to transmit any unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.

Impersonation and False Information: Do not impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity while using the Site. All information you provide must be truthful and accurate.

Violation of any of the above Prohibited Uses is grounds for termination of your right to use the Site. Phichain Capital may investigate and take appropriate legal action against anyone who, in Phichain’s sole discretion, violates these provisions, including reporting you to law enforcement authorities if warranted.

To the fullest extent permitted under applicable law, Phichain Capital and its affiliates, officers, directors, employees, agents, and representatives shall not be liable for any damages or losses arising out of or in connection with your use of (or inability to use) the Site or any information or services provided through the Site. This is a comprehensive limitation of liability that applies to all types of damages, including direct, indirect, incidental, consequential, special, exemplary, or punitive damages, whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory. It covers, for example, any loss of profits or data, business interruption, or other commercial or personal damages or losses, even if Phichain Capital has been advised of the possibility of such damages.

In particular, Phichain Capital and its affiliates will not be responsible for: (a) any errors, mistakes, or omissions in content on the Site; (b) any loss or damage (including any investment losses) arising from your reliance on information obtained through the Site – any information you use is entirely at your own risk; (c) any unauthorized access to or use of our servers or of any personal or financial information stored therein; (d) any interruption or cessation of transmission to or from the Site, or any downtime or availability issues; (e) any bugs, viruses, Trojan horses or other harmful code that may be transmitted to or through our Site by any third party; or (f) any third-party content, products, or services that may be referenced or linked on the Site.

No Liability for Restricted Access: Phichain Capital shall not be liable for any inability to access the investor dashboard or any restricted area by any user, whether due to lack of authorization, technical issues, or otherwise. The Site may be unavailable periodically for maintenance or other reasons, and Phichain is not responsible for any damages resulting from such unavailability.

Because some jurisdictions do not allow the exclusion or limitation of certain liabilities, in such jurisdictions our liability is limited to the maximum extent permitted by law. If, notwithstanding the above, Phichain Capital is found liable to you for any claim arising out of these Terms or your use of the Site, the maximum aggregate liability that Phichain (including its affiliates and agents) will owe you shall not exceed USD $100 (one hundred U.S. dollars). This limitation will apply even if any limited remedy herein is found to have failed its essential purpose.

Phichain Capital reserves the right to modify or update these Terms of Use at any time. If we make any material changes, we will post the revised Terms on this webpage and update the “Last Updated” date at the top of the Terms. Changes to the Terms are effective immediately upon posting, unless we specify otherwise. We may, at our discretion, also notify you of significant changes (for example, by email to authorized investors or via a notice on our homepage), but you are responsible for checking this page periodically to stay informed of any updates. By continuing to use the Site after revised Terms have been posted, you agree to the updated Terms. If you do not agree with any modification to these Terms, your sole remedy is to discontinue using the Site.

These Terms of Use, and any dispute or claim arising out of or relating to the Site or these Terms, shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. (If you are accessing the Site as a consumer from within the United States, you may have certain rights under consumer protection laws; however, to the extent permitted, you agree to the above governing law.)

Jurisdiction and Venue: You agree that any dispute, claim, or cause of action arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in the State of Delaware. You hereby consent to the personal and exclusive jurisdiction of these courts for litigating any such dispute. You also waive any objection to the exercise of jurisdiction over you by such courts or to venue in such courts, including any argument that the forum is inconvenient.

Waiver of Jury Trial and Class Actions: To the extent permitted by law, you and Phichain Capital each waive the right to a trial by jury in any litigation arising from or related to these Terms or the Site. Further, you agree to resolve disputes with Phichain on an individual basis, and not as a plaintiff or class member in any purported class or representative proceeding. Class arbitrations and class or representative actions are not permitted. (This paragraph does not prevent you from bringing a dispute to the attention of federal, state, or local agencies.)

Injunctive Relief: Notwithstanding the above, you agree that Phichain Capital may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

Entire Agreement: These Terms of Use (along with our Privacy Policy and any additional legal notices on the Site) constitute the entire agreement between you and Phichain Capital regarding your use of the Site, and supersede any prior or contemporaneous understandings and agreements on that subject. You acknowledge that you have not relied on any representation or information that is not expressly included in these Terms.

No Waiver: Phichain Capital’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Phichain Capital.

No Third-Party Beneficiaries: These Terms are for the benefit of you and Phichain Capital only. Except as expressly provided in these Terms, no third party has any rights to enforce any term of this agreement. (For example, the Contracts (Rights of Third Parties) Act 1999 is expressly excluded in these Terms with respect to any third-party enforcement.)

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Phichain Capital. Phichain may freely assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.

You agree to indemnify, defend, and hold harmless Phichain Capital, its parent company, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) that arise out of or relate to your use of the Site, your violation of these Terms of Use, or your violation of any rights of another person or entity. This means that if a third party makes a claim against Phichain due to your breach of these Terms or your unlawful conduct, you will be responsible for any costs or damages Phichain incurs as a result (including legal fees and expenses).

Phichain reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (in which case you agree to cooperate with Phichain’s defense of such claim). You agree not to settle any such matter without the prior written consent of Phichain Capital. Your indemnification obligations will survive any termination of your use of the Site or these Terms.
